These Terms & Conditions ("Terms") govern your use of the DirectChimp platform and services provided by Globalio LLC. By submitting a request, placing an order or making a payment through DirectChimp, you agree to be bound by these Terms. If you do not agree, you must not use our services.

In these Terms, Globalio LLC may be referred to as "DirectChimp", "we", "us" or "our". The user of our services may be referred to as "Buyer", "you" or "your".

2. Nature of Our Service

DirectChimp is a commercial intermediary (sourcing agent) that helps Buyers purchase goods directly from manufacturers and suppliers at wholesale prices, with delivery to the Buyer's address.

DirectChimp acts only as an intermediary between you and the manufacturer or supplier ("Supplier"). DirectChimp is not the seller, manufacturer, importer of record, owner or producer of the goods. We do not hold inventory, do not own the products at any time and are not a party to the sales contract between you and the Supplier.

Our role is limited to:

You acknowledge and agree that all product-related obligations (quality, conformity, warranties, delivery, customs, legal compliance, etc.) lie exclusively between you as Buyer and the Supplier and/or carrier. DirectChimp is not responsible for the performance of the Supplier or the carrier.

By using our services, you represent that you have the legal capacity and authority to enter into binding agreements and to act as Importer of Record in your country.

The minimum value of a single order that DirectChimp will handle is 500 EUR (or equivalent in other currency), excluding local customs duties and taxes in the destination country.

5. Order Process

The order process typically consists of the following steps:

  1. Inquiry: You submit a request describing the desired product(s), specifications, quantities, target country and other relevant information.
  2. Supplier search and negotiation: DirectChimp identifies suitable Suppliers and negotiates a purchase price and commercial terms on your behalf to obtain a competitive wholesale price.
  3. Offer: DirectChimp sends you an Offer indicating the total amount to be paid (including the Supplier price and our Commission) and basic information on shipping terms (e.g. Incoterms, estimated delivery time).
  4. Payment: If you accept the Offer, you pay the total amount to DirectChimp. By making this payment, you confirm that you accept these Terms and the Offer.
  5. Order placement: DirectChimp places the order with the Supplier in your name, using the funds you have paid. We then transfer the agreed purchase price to the Supplier and retain our Commission.
  6. Shipping: The Supplier arranges shipment of the goods directly to your specified address under the agreed shipping terms (e.g. DAP, DDP, FOB, CIF).
  7. Documents: DirectChimp forwards to you the shipment documents received from the Supplier, either by email or via the DirectChimp application.

DirectChimp does not manage manufacturing, packaging, loading, customs clearance or delivery. All such operations are performed by the Supplier and/or the carrier.

6. Prices, Payment and Commission

The total amount you pay to DirectChimp for each Order includes:

The Commission is set individually for each Order, depending on the value and complexity of the transaction. By paying the total amount stated in the Offer, you agree to the Commission applicable to that Order.

Payment methods and currencies will be specified in the Offer or on the DirectChimp platform. We may use third-party payment providers to process your payments.

Unless expressly stated otherwise in writing, our Commission is non-refundable, even if:

7. Shipping, Incoterms and Delivery Times

Shipping terms (such as DAP, DDP, EXW, FOB, CIF or other Incoterms) are determined between you and the Supplier and indicated in the Offer to the extent known to us.

Any delivery times communicated to you are estimates only and are based on information from the Supplier and/or carrier. DirectChimp does not guarantee any specific delivery date and is not liable for any delay or loss arising from late delivery.

8. Customs, Import Duties and Taxes

You acknowledge and agree that:

If the shipping term is not DDP (Delivered Duty Paid) and customs clearance is required, DirectChimp will, after your payment, provide you with the documents received from the Supplier (such as invoices, packing lists and transport documents) by email or via the DirectChimp application for you to use in the customs process.

DirectChimp does not perform customs clearance, does not communicate with customs authorities on your behalf and is not responsible for customs decisions, inspections, delays, additional charges or confiscations.

9. Quality, Conformity and Complaints

All obligations related to the quality, safety, conformity, certifications, labelling, packaging and quantity of the goods are solely between you and the Supplier. DirectChimp does not inspect, test or verify the goods and does not provide any guarantees regarding the goods.

If the Supplier fails to ship the goods, delivers defective or non-conforming goods or delivers an incorrect quantity, DirectChimp may, at its discretion, assist you in communicating with the Supplier and in attempting to obtain a remedy or refund from the Supplier. However, DirectChimp:

10. Refunds and Cancellations

Once you have paid for an Order and DirectChimp has placed the order with the Supplier, the Order is generally non-cancellable. Any potential cancellation or refund is subject exclusively to the Supplier's policy and decision.

DirectChimp does not provide refunds of its Commission except where required by mandatory law. If the Supplier refunds part or all of the amount paid for the goods, DirectChimp may forward such refunded amount to you, less any non-recoverable costs (such as bank fees or currency conversion costs), but is not obligated to refund its Commission.

11. Prohibited Products and Uses

DirectChimp reserves the right to refuse any Inquiry or Order at its sole discretion. In particular, we do not provide intermediary services for goods that are illegal, highly regulated or otherwise inappropriate.

To the maximum extent permitted by applicable law, DirectChimp, Globalio LLC and their owners, directors, employees and agents shall not be liable for any:

In any case, the total aggregate liability of DirectChimp and Globalio LLC in connection with any single Order or series of related Orders shall be strictly limited to the amount of the Commission that you have paid to DirectChimp for that specific Order.

You agree to indemnify and hold harmless DirectChimp, Globalio LLC and their owners, directors, employees and agents from and against any claims, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or related to:

The DirectChimp name, logo, branding, website design, text, graphics and other content are protected by intellectual property rights owned or licensed by Globalio LLC. You may not use our trademarks or content without our prior written consent, except as necessary to use our services in accordance with these Terms.

We process personal data in accordance with our Privacy Policy, which is available on our website. By using our services, you acknowledge that you have read and understood the Privacy Policy.

16. Third-Party Services

Our services may rely on third-party platforms and providers (such as payment processors, communication tools or logistics providers). We are not responsible for any acts or omissions of such third parties. Your use of such services may be subject to their own terms and privacy policies.

We may suspend or terminate your access to our services, or refuse to process any Inquiry or Order, if we reasonably believe that:

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law principles.

Any dispute between you and DirectChimp shall preferably be resolved amicably. If an amicable solution cannot be reached, the dispute shall be submitted to the competent courts of the State of Delaware, USA. You agree not to bring any class, collective or representative action against us.

19. Changes to These Terms

We may update these Terms from time to time. The updated version will be published on our website and will indicate the date of the last update. Your continued use of our services after the updated Terms become effective constitutes your acceptance of the changes.
